Agreement and Scope

These Terms & Conditions (“Website Terms”) are an agreement between GrowPep LLC (“GrowPep,” “we,” “us,” or “our”) and each person who accesses or uses GrowPep.com and its related public pages, forms, accounts and website interfaces (collectively, the “Website”).

By accessing or using the Website after receiving reasonable notice of these Website Terms, you agree to them. If you do not agree, do not use the Website.

When GrowPep presents an acceptance checkbox, account-registration notice or other express acceptance process, your selection or electronic action confirms acceptance of the version presented.

These Website Terms do not govern paid service scope, payments, revisions, subscriptions, ownership transfer or service delivery. Those matters are governed by the applicable Order and our Terms of Service .

Eligibility and Organizational Authority

You must be at least 18 years old and legally capable of agreeing to these Website Terms.

If you access the Website or create an account for a company, employer or another organization, you represent that you are authorized to act for that organization and bind it where applicable.

You may not use the Website if doing so is unlawful in your jurisdiction or if GrowPep has lawfully suspended or terminated your access.

GrowPep primarily serves businesses. Any mandatory rights held by an eligible consumer remain unaffected.

Website Purpose and No Automatic Service Relationship

The Website provides information about GrowPep, its services, experience, processes, portfolio, resources and contact options.

Public service pages describe general capabilities. They do not promise that every feature, platform, deliverable, timeline, price or result is included in every engagement.

A paid service relationship begins only when GrowPep accepts an Order, Proposal, SOW, Service Agreement, payment or other documented engagement under the Terms of Service.

GrowPep may accept, reject or request more information about an inquiry in its reasonable discretion, subject to applicable law.

Limited Permission to Use the Website

Subject to these Website Terms, GrowPep grants you a limited, revocable, non-exclusive, non-transferable permission to access and use the Website for lawful personal or internal business evaluation and communication.

You may:

• view public Website pages and resources;
• print or save a reasonable number of pages for internal reference;
• submit genuine business inquiries through available forms;
• use authorized account and client-portal functions;
• share a normal link to a public Website page.

This permission does not transfer ownership or grant a right to commercially reproduce, republish, sell, sublicense, create a competing content library from or otherwise exploit Website content.

GrowPep may revoke this permission for a material violation of these Website Terms.

Prohibited Conduct

You may not use or attempt to use the Website to:

• violate law, regulation, contract or another person’s rights;
• submit false, fraudulent, misleading or impersonated information;
• gain unauthorized access to an account, system, file or credential;
• probe, scan, test or bypass security or access controls without permission;
• introduce malware, harmful code, denial-of-service traffic or automated abuse;
• interfere with Website operation, hosting, logs, forms or other users;
• harvest email addresses, personal information or account data;
• send spam, deceptive solicitations or unlawful promotional messages;
• reverse engineer restricted Website functionality except where law permits;
• remove copyright, trademark or attribution notices;
• misrepresent affiliation, endorsement, certification or partnership with GrowPep;
• frame or mirror a material part of the Website without written permission;
• use Website content to create a confusingly similar or competing website;
• use another person’s account or allow unauthorized account sharing;
• assist another person in prohibited activity.

Automated Access and Scraping

Except for ordinary search-engine indexing performed consistently with applicable instructions such as robots.txt, you may not use bots, crawlers, scrapers, bulk-download tools or automated agents to copy, extract, monitor or build datasets from the Website without GrowPep’s written permission.

Website content may not be used to train, fine-tune, evaluate or populate a commercial artificial-intelligence or machine-learning system without written authorization, except to the extent such restriction is prohibited by applicable law.

Accounts, Authentication and Client Portal

Certain Website features may require registration, authentication or approved client access.

You agree to:

• provide accurate registration and account information;
• keep your email and recovery information current;
• use a strong, unique password and protect authentication methods;
• limit access to authorized users;
• notify GrowPep promptly of suspected unauthorized access;
• use portal files, messages and functions only for their intended purpose;
• log out or secure devices that other people can access.

You are responsible for activity performed through your account until GrowPep receives notice of suspected compromise, except to the extent the activity resulted from GrowPep’s own breach of duty.

GrowPep may require identity or authority verification, reset credentials, limit sessions, suspend access or preserve relevant records when reasonably necessary for security, compliance, investigation or account administration.

Portal access is a controlled interface, not a permanent data-storage guarantee. Download and retain copies of project files that the applicable Order requires you to keep.

Forms, Inquiries and Electronic Communications

Contact, quote, booking, registration and support forms may be used only for genuine, relevant communications.

You represent that information and attachments you submit are accurate, lawful and authorized. Do not submit malware, unlawful content or unnecessary sensitive information.

GrowPep may contact you using the information you provide to:

• respond to an inquiry or requested consultation;
• verify information or prevent fraud;
• administer an account or client relationship;
• send transaction, security, service or legal notices;
• send marketing only as permitted and subject to available opt-out rights.

You consent to receive records and notices electronically where permitted by law. You are responsible for maintaining a working email address and reviewing relevant communications.

GrowPep does not guarantee that an unsolicited inquiry, proposal, attachment or idea will be reviewed, accepted, treated as confidential or returned unless a separate written obligation applies.

User Submissions and Submitted Materials

“User Submissions” include messages, files, comments, images, business information, feedback and other material you submit through the Website.

You retain ownership of User Submissions you own. You grant GrowPep a limited, non-exclusive license to host, copy, process, transmit and use a submission only as reasonably necessary to:

• operate the Website and requested feature;
• respond to your inquiry;
• evaluate or provide an authorized service;
• maintain security, records and legal compliance;
• perform another purpose disclosed when you submit it.

This license does not permit GrowPep to publicly use confidential Client Materials in marketing or a portfolio without permission or another valid authorization.

You represent that each submission:

• is accurate to the best of your knowledge;
• does not infringe intellectual-property, privacy or publicity rights;
• does not contain unlawful threats, malware, fraud or prohibited content;
• can lawfully be processed for the purpose requested.

GrowPep may remove, quarantine, reject or restrict a submission that presents a legal, security or operational risk.

Reviews, Testimonials and Voluntary Feedback

You may provide honest feedback about GrowPep’s products, services or conduct. These Website Terms do not prohibit, penalize or require you to transfer ownership of an honest consumer review.

If you voluntarily submit a testimonial or review directly to GrowPep for potential publication, you:

• retain ownership of your original expression;
• grant GrowPep a non-exclusive, worldwide, royalty-free license to reproduce, format and display the submitted review for GrowPep marketing and business communication;
• represent that the review reflects your honest experience;
• agree that GrowPep may identify a material relationship or incentive;
• may request that GrowPep stop future use, subject to materials already distributed.

GrowPep may decline to publish or may remove content containing confidential information, private data, unlawful threats, harassment, infringement, impersonation, spam or clearly false factual statements.

GrowPep does not promise publication and may make non-substantive formatting or length edits without changing the reviewer’s meaning. Material edits require appropriate approval.

GrowPep Intellectual Property and Brand Rights

Unless otherwise identified, GrowPep or its licensors own the Website and original content made available through it, including:

• website copy, articles, layouts and page structures;
• graphics, illustrations, photographs and videos;
• code, interfaces, animations and interactive elements;
• templates, methods, downloads and design systems;
• GrowPep names, logos, service marks and branding.

Copyright and other intellectual-property protection may exist automatically when an original work is created and fixed in a tangible form. No registration notice or copyright symbol is required for these Website Terms to reserve GrowPep’s rights.

Third-party names, logos, images, software and materials remain owned by their respective owners and are used under permission, license, legal exception or another valid basis.

You may not use GrowPep’s name, logo or visual identity in a way that suggests sponsorship, affiliation, certification or approval without written permission.

Nothing on the Website grants a license by implication, estoppel or otherwise except the limited permission expressly provided in these Website Terms.

Copyright and Intellectual-Property Complaints

If you believe material on GrowPep.com infringes your copyright or another intellectual-property right, send a good-faith notice to support@growpep.com containing:

• your name and contact information;
• identification of the protected work or right;
• the exact Website URL and identification of the disputed material;
• an explanation of why the use is unauthorized;
• a statement that the information is accurate and submitted in good faith;
• your physical or electronic signature.

GrowPep may request additional information, restrict access to the material during review, notify the person who supplied it, or take another action appropriate to the circumstances.

Do not knowingly submit a false or materially misleading complaint. This contact procedure does not represent that GrowPep has completed any separate statutory safe-harbor registration or that every submission qualifies as a formal statutory notice.

Third-Party Websites, Tools and Platform References

The Website may link to, embed, integrate with or mention hosting providers, payment services, search engines, review platforms, social networks, advertising platforms, maps, videos, scheduling tools, software vendors and other third parties.

A link, logo, integration or reference does not necessarily mean that GrowPep owns, controls, sponsors, endorses or is formally partnered with the third party.

Third parties operate under their own terms, privacy notices, licenses, pricing, security and availability. GrowPep is not responsible for their independent content, conduct, policies, products, outages, account actions or data practices.

Review third-party terms before using an external service or submitting personal or payment information.

Website Accuracy, Educational Content and No Professional Advice

GrowPep aims to provide useful and accurate information, but Website content may contain errors, omissions, estimates, incomplete information or material that later becomes outdated.

Services, prices, team information, examples, tools, platform features, laws and policies can change. GrowPep may correct or update Website content without notice.

Website Availability, Maintenance and Security

GrowPep may update, maintain, restrict, suspend, reorganize or discontinue any public Website page or feature.

GrowPep does not guarantee:

• continuous or uninterrupted Website availability;
• that every feature will remain unchanged or permanently available;
• compatibility with every browser, device or assistive technology;
• that the Website will be completely free of errors or vulnerabilities;
• that data transmission or storage will be absolutely secure.

GrowPep uses reasonable measures appropriate to the Website’s nature, but no online system is risk-free.

You are responsible for securing your device, network, browser, passwords and local copies of information.

Notify support@growpep.com if you reasonably believe you discovered a security issue. Do not exploit, publicly disclose or access data beyond what is necessary to report the concern lawfully.

Privacy, Cookies and Personal Information

GrowPep’s handling of personal information collected through the Website is described in our Privacy Policy .

By using the Website, you acknowledge those notices. Where applicable law requires consent for optional technologies, GrowPep’s consent controls—not these Website Terms alone—should provide the relevant choice.

Do not submit passwords, payment-card details, government identification, health information or other sensitive personal information through a general form unless GrowPep specifically requests it through an approved process.

Website Disclaimers

To the maximum extent permitted by law, the Website and public Website content are provided “as is” and “as available.”

GrowPep disclaims implied warranties relating to the Website, including merchantability, fitness for a particular purpose, title, non-infringement and uninterrupted or error-free operation, except where an implied warranty cannot lawfully be excluded.

A disclaimer does not excuse a false, deceptive or unsupported statement. GrowPep intends to present material claims honestly and with an appropriate basis.

Limitation of Liability and Website-Use Indemnification

Excluded Damages

To the maximum extent permitted by law, GrowPep is not liable for indirect, incidental, special, exemplary, punitive or consequential damages arising solely from use of or inability to use the public Website, including lost profit, revenue, opportunity, goodwill or data.

Website Liability Cap

To the maximum extent permitted by law, GrowPep’s aggregate liability arising solely from free public Website use will not exceed the greater of:

• the amount you paid specifically for the affected Website feature; or
• one hundred U.S. dollars (US $100).

Paid service liability is governed separately by the applicable Order and Terms of Service.

Non-Waivable Liability

Nothing in these Website Terms excludes or limits liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or another liability that applicable law does not permit GrowPep to exclude or limit.

Your Indemnification

To the extent permitted by law, you will defend, indemnify and hold GrowPep harmless from third-party claims and reasonable costs arising from:

• your unlawful use of the Website;
• User Submissions or materials you provide;
• unauthorized account activity under your control;
• your infringement of another person’s rights;
• your material violation of these Website Terms.

This indemnification does not apply to the extent a claim was caused by GrowPep’s own wrongful conduct.

Suspension, Restriction and Termination of Access

GrowPep may restrict or suspend Website, account or portal access when reasonably necessary because of:

• a material violation of these Website Terms;
• suspected fraud, impersonation or unauthorized access;
• a security risk or technical emergency;
• abusive, unlawful or harmful conduct;
• a legal, regulatory, court or platform requirement;
• account inactivity or termination of the related client relationship.

Where practical and appropriate, GrowPep will provide notice and an opportunity to correct a curable issue.

You may stop using the public Website at any time. Ending Website use does not terminate a separate paid-service agreement or remove an outstanding payment obligation.

Provisions concerning intellectual property, confidentiality, disclaimers, liability, indemnification, disputes and provisions intended by their nature to continue survive termination.

Good-Faith Disputes, Governing Law and Venue

Informal Resolution

Before filing a formal claim relating to these Website Terms, the parties will attempt in good faith to resolve the dispute through written notice describing the issue and requested resolution.

Unless urgent relief is reasonably necessary, each party should allow at least 30 calendar days for discussion.

Governing Law

These Website Terms are governed by the laws of Wyoming, United States, without regard to conflict-of-law principles.

Courts and Mandatory Rights

Subject to mandatory consumer venue rights and other non-waivable law, the state and federal courts located in Wyoming have exclusive jurisdiction over disputes arising from these Website Terms.

Either party may seek temporary or injunctive relief from a court of competent jurisdiction to protect security, confidential information or intellectual-property rights.

No Mandatory Arbitration in These Public Terms

These public Website Terms do not require mandatory arbitration or waive a class-action right. A separate negotiated agreement may contain another dispute process only when expressly accepted and legally permitted.
